Terms and Conditions

These Terms and Conditions govern use of ReceiptTrack's website, application, APIs, and related services provided by GRIMSOFT LTD (trading as ReceiptTrack).

1. Provider and scope

These terms are between you and GRIMSOFT LTD. They apply when you access the public site, create an account, use the dashboard, connect third-party systems, or use support and billing features.

If you use the service on behalf of a company, partnership, or client, you confirm you are authorised to accept these terms on that entity's behalf.

2. Eligibility and account registration

You must provide accurate information, keep profile details up to date, and maintain control of your authentication methods. You are responsible for activity occurring under your account credentials.

You must notify us promptly if you suspect unauthorised account access or compromise.

3. Service description and acceptable use

ReceiptTrack provides tools for receipt capture, categorisation, reporting, exports, and tax workflow support. You may use the service only for lawful purposes and in a way that does not interfere with system integrity, other users, or legal compliance obligations.

You must not:

  • attempt unauthorised access, scanning, or exploitation of infrastructure;
  • upload malware, harmful scripts, or unlawful/abusive content;
  • misrepresent service capabilities to customers, regulators, or counterparties;
  • use bots or scraping methods that exceed normal and permitted usage patterns.

4. Making Tax Digital and tax workflow terms

Making Tax Digital features are provided to help users prepare and review tax workflow data. ReceiptTrack is not an HMRC service and is not represented as HMRC approved, certified, or endorsed unless explicitly published by HMRC.

Live connection and submission actions may be unavailable while approval work is completed. You are responsible for reviewing all data before any supported submission and for ensuring legal declarations are accurate.

5. Customer records and responsibility for filings

You remain responsible for maintaining complete and accurate accounting records and for meeting any tax, legal, or reporting deadlines applicable to you or your business.

ReceiptTrack provides software functionality and does not provide legal, accounting, or tax advice.

6. Subscriptions, billing, and cancellations

Paid plans are billed via Stripe or other payment providers we designate. You authorise recurring charges according to your selected plan until cancellation.

Plan entitlements, usage limits, retention windows, and overage controls are set by plan type and may change with notice. Cancellation stops future renewal charges but does not retroactively refund completed billing periods unless required by law.

7. Intellectual property and licence

We own or license all rights in the ReceiptTrack service, including software, branding, designs, and documentation. Subject to these terms, we grant you a limited, non-exclusive, non-transferable licence to use the service for internal business or personal record-management purposes.

You retain ownership of content you upload. You grant us the rights needed to host, process, secure, and display that content solely to operate and improve the service.

8. Availability, changes, and suspension

We aim for reliable availability but do not guarantee uninterrupted or error-free service. Maintenance, upgrades, incidents, or third-party dependencies may affect access.

We may modify features, APIs, plans, and technical controls. Where changes materially affect use, we will provide reasonable notice through in-app notices, email, or website updates.

We may suspend or restrict access where required for security, legal compliance, charge recovery, abuse prevention, or breach investigation.

9. Privacy and data processing

Our handling of personal data is described in the Privacy Policy. By using the service, you acknowledge that processing is necessary to deliver account access, support, billing, reporting, and tax workflows you authorise.

For security, regulatory, and fraud-prevention reasons, we may maintain logs and event records.

10. Warranties and disclaimers

The service is provided on an "as available" basis. To the extent permitted by law, we disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service output is free from all defects or suitable for every legal, accounting, or operational scenario.

11. Limitation of liability

Nothing in these terms limits liability that cannot be excluded by law. Subject to that, we are not liable for indirect, consequential, special, punitive, or loss-of-profit damages arising from use of the service.

Our aggregate liability for claims related to the service is limited to the amounts paid by you to us for the affected service period, unless a higher minimum is required by law.

12. Indemnity

You agree to indemnify and hold harmless GRIMSOFT LTD from claims, losses, and expenses arising from your misuse of the service, breach of these terms, or unlawful handling of third-party data.

13. Termination

You may stop using the service at any time and can request account closure. We may terminate or suspend accounts for serious or repeated breaches, legal requirements, or security risks.

Provisions that by nature should survive termination continue to apply, including payment obligations, limitations of liability, intellectual property rights, and dispute terms.

14. Governing law and disputes

These terms are governed by the laws of England and Wales, unless mandatory consumer protections in your jurisdiction apply. Courts of England and Wales will have jurisdiction except where law requires otherwise.
